Merchant / Seller Terms of Service

1. Scope and acceptance
These Merchant / Seller Terms (“Merchant Terms”) govern the business relationship between Inbenne Technologies (legal name: Navaneeth B, a proprietorship, GSTIN 29CRIPB9232J1ZI, principal place of business at 2-271, Nandadeepa, Marpalli Korangrapady Road, Udupi, Karnataka — 574118 — the “Platform”, “we”, “us”) and each Merchant (as defined below) that uses mathondu.
By creating or operating a Mathondu presence used to offer goods or services, receive orders or enquiries, or receive payments through Mathondu, or by enabling Mathondu Checkout (when available), you agree to these Merchant Terms in addition to the mathondu Terms of Use and Privacy Policy.
Sections relating to Mathondu Checkout, payment processing through a Payment Partner, split settlement, Payment Partner refunds and chargebacks apply only where Mathondu Checkout has been made available to you and you have enabled it. Until then, the Direct merchant payments section describes how customer payments typically work.
2. Definitions
- User — any person, business, organization or other entity that creates or operates a business, store, service, page, club, portfolio or other presence on Mathondu.
- Merchant / Seller / you — a User that uses Mathondu to offer goods or services, receive customer orders or enquiries intended to lead to a sale or booking, or receive payments in connection with such offerings.
- Customer — a person who browses, enquires, orders, books or pays in connection with a Merchant's Mathondu presence.
- Payment Partner — a payment gateway, payment aggregator, settlement provider or other payment partner made available by Mathondu from time to time. The Payment Partner may currently include PayU, where available and approved for your account.
- Mathondu Checkout — optional integrated checkout / settlement features offered by Mathondu through a Payment Partner, when available and enabled by you.
A User that operates a page solely for information, community or portfolio purposes without offering goods/services for sale or receiving customer payments is still bound by applicable Terms of Use and content rules, but Checkout and Seller-of-record payment sections apply only if and when they act as a Merchant as defined above.
3. Role of Mathondu and Merchant
- The Platform provides technology for online presence, catalogues, orders or enquiries, chat, bills, optional AI features, and (when available) Mathondu Checkout.
- The Merchant, and not Mathondu, is responsible for the goods or services offered to Customers through the Merchant's Mathondu presence, including their description, price, legality, quality, fulfilment, warranties, returns and customer support.
- Mathondu is not the seller or service provider for offerings listed by Merchants, unless we clearly state otherwise for a specific Platform offering.
4. Merchant account and eligibility
You represent that information you provide (including business or page name, contact details, and any tax, identity or bank details requested for Checkout) is true, current and complete, and that you will update it promptly when it changes.
Where Mathondu Checkout or a Payment Partner requires KYC or other verification, you authorize the Platform and the Payment Partner (and their banking partners) to verify identity, bank details and compliance status as needed to provide those services. Availability of Checkout is not guaranteed and may depend on Payment Partner approval, KYC status and risk controls.
5. Merchant content and listings
You are responsible for all content you publish or cause to be published on your Mathondu presence, including names, descriptions, prices, images, policies and contact information.
You represent that you have the rights and permissions necessary to upload and use content you provide to Mathondu. You grant Mathondu the limited rights necessary to host, process, reproduce, adapt, resize and display that content solely to provide, secure and operate the services you use.
6. AI-assisted features
Optional AI features may draft or suggest listings, descriptions, images, replies or other content. AI-generated content is assistance / draft output only and may be inaccurate or incomplete.
Before publishing or using AI-assisted output with Customers, you are responsible for reviewing and approving product or service names, descriptions, prices, claims, images, availability and other information. You remain responsible for what Customers see and for any claims arising from published content, whether drafted manually or with AI assistance.
7. Orders, fulfilment and customer service
- List only products or services you may lawfully offer; honour published prices, stock and policies.
- Fulfil orders or bookings, provide customer support, and issue valid tax invoices where required.
- Publish clear refund / return / cancellation rules where applicable and honour them unless prohibited by law.
- Keep contact channels you publish (for example phone or WhatsApp) reasonably available for order communication.
8. Direct merchant payments
Today, Customers typically pay a Merchant directly using payment details the Merchant provides (such as UPI or QR). In that model, Mathondu does not collect the Customer's payment for the Merchant's goods or services and does not deduct a commission from those sales.
Merchants remain responsible for confirming payment, fulfilment, taxes applicable to those sales, and Customer support for those transactions.
9. Mathondu Checkout — if enabled
If Mathondu Checkout is made available and you enable it, you authorize the Payment Partner to collect Customer payments for applicable orders in accordance with the Payment Partner's terms and the configuration applicable to your account.
Where split settlement or similar settlement is used, amounts may be credited to your designated account per the Payment Partner's settlement cycle and rules, after lawful deductions. The Platform and/or Payment Partner may deduct applicable platform fees, payment-handling charges, taxes (where required by law), refunds, chargebacks, penalties and adjustments shown at checkout or in your seller dashboard / settlement reports.
Settlement timing depends on the Payment Partner, banks, holidays, risk holds and successful KYC. Mathondu does not guarantee same-day payout. The detailed commercial and operational terms of any Payment Partner arrangement applicable to Mathondu will govern where they conflict with a general description in these Merchant Terms.
10. Payment Partner onboarding and KYC
Use of Mathondu Checkout may require registration, KYC and ongoing compliance with the Payment Partner. The Payment Partner or Mathondu may decline, suspend or limit Checkout if verification is incomplete, expired or flagged for risk.
11. Settlement
Where Mathondu Checkout is enabled, settlement of Customer payments is generally handled under the Payment Partner's processes. A Payment Partner may delay, withhold, reverse or otherwise restrict settlements in accordance with its terms, applicable law, risk controls, disputes, KYC requirements, chargebacks or similar reasons.
Mathondu may suspend or restrict access to Mathondu services (including Checkout features) for risk, fraud, legal requests, repeated disputes or breach of these Merchant Terms.
12. Fees
Core Mathondu use may be free as described on Pricing. Optional platform features (including AI) may use prepaid credits or other fees disclosed in product.
Platform and payment fees related to Mathondu Checkout (if any) will be disclosed before you enable Checkout or at the point of sale. Material fee changes will be communicated with reasonable notice where required or appropriate; continued use after the effective date of a disclosed fee change constitutes acceptance of the updated fee schedule where permitted by law.
13. Refunds, disputes and chargebacks
You are primarily responsible for refunds and order disputes with Customers for your offerings.
Where Mathondu Checkout is enabled and a refund is approved (by you or as required by law or payment-network rules), you authorize the Platform and Payment Partner to debit the refund amount from your settlement balance or future payouts, or to recover it by other lawful means, subject to the Payment Partner's terms.
Chargebacks and payment reversals related to Checkout may be debited even after settlement. You agree to cooperate with evidence requests and accept liability for fraudulent or unfulfilled orders attributable to your Merchant presence.
14. Taxes and invoices
You are responsible for determining and complying with tax obligations applicable to your business and to sales or services you offer through Mathondu, including issuing invoices or receipts where required.
Mathondu may collect or withhold amounts only where required by law or as disclosed for Platform fees or Checkout. These Merchant Terms do not constitute tax advice. Specific marketplace, TDS/TCS or similar obligations (if any) depend on how a particular transaction is structured and applicable law; seek professional advice as needed before enabling Checkout.
15. Prohibited and restricted activity
Merchants must not use Mathondu to list, advertise, offer, sell or facilitate goods or services that are prohibited by applicable law, Mathondu policies, or applicable Payment Partner policies — whether Customers pay via direct UPI/QR, WhatsApp, Mathondu Checkout or otherwise.
You must not use Mathondu for fraud, money laundering, misleading listings or other unlawful activity.
16. Intellectual property
Mathondu and its branding, software and documentation remain owned by the Platform or its licensors. Your business content remains yours, subject to the limited license in Section 5.
17. Privacy and customer data
You must handle Customer personal data lawfully and only as needed to fulfil orders, provide support and comply with law. See also our Privacy Policy. You must not misuse Customer contact details for spam or unlawful marketing.
18. Suspension and termination
Mathondu may suspend or restrict access to Mathondu services, including your presence or Checkout features, for risk, fraud, legal requests, repeated disputes or breach. Outstanding liabilities survive termination.
You may stop using Mathondu Checkout by disabling it (when the product allows) and notifying us; Payment Partner rules may continue to apply to open transactions, refunds and chargebacks.
19. Disclaimers and limitation of liability
Mathondu is provided on an “as available” basis. To the fullest extent permitted by law, we are not liable for Merchant–Customer disputes, fulfilment failures, Payment Partner outages, or losses arising from your listings or AI-assisted content that you publish without adequate review.
20. Indemnity
You will indemnify and hold harmless the Platform, its proprietor and Payment Partners against claims, losses, fines and reasonable costs arising from your listings, content (including AI-assisted content you publish), fulfilment failures, tax non-compliance, Customer disputes, chargebacks or breach of these Merchant Terms — except to the extent caused by our wilful misconduct.
21. Changes to these Merchant Terms
We may update these Merchant Terms from time to time. For material changes, we will provide reasonable notice where required or appropriate (for example by email, in-product notice or an updated “Last updated” date), with an effective date. Continued use of Mathondu Merchant features after the effective date constitutes acceptance of the updated Merchant Terms where permitted by law.
22. Governing law and disputes
These Merchant Terms are governed by the laws of India. Courts at Udupi / Karnataka shall have jurisdiction, subject to applicable law.

These Merchant Terms are a working platform agreement for the current product. Before enabling Mathondu Checkout in production with a Payment Partner, have counsel review these terms together with the Payment Partner agreement, checkout UX, refund flows and invoices.
